ShiftMatch Terms of Use (Australia & Canada)

Effective: April 10, 2025

These Terms of Use govern your access to and use of the ShiftMatch platform and related services provided by Gate121 Pty Ltd t/a ShiftMatch (Australia) and distributed in Canada by FillShift Inc., an independent sales agent and authorised reseller. All intellectual property in the ShiftMatch platform is solely owned by Gate121 Pty Ltd t/a ShiftMatch. By accessing or using the platform, whether as a worker or administrator, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Parties to the Agreement

  • Australia: Gate121 Pty Ltd t/a ShiftMatch (ABN/ACN 89 091 964 331), the sole owner and licensor of the ShiftMatch platform and all related intellectual property.

  • Canada: FillShift Inc., an independent sales agent and authorised reseller of ShiftMatch products and services in the Canadian territory.

These Terms apply to both workers utilising the platform to manage shifts and administrators using the platform to manage staffing.

2. Acceptance of Terms

By using ShiftMatch, you agree to comply with these Terms of Use and all applicable local laws and regulations. If you are using the platform on behalf of an organisation, you represent that you are authorised to accept these Terms on its behalf.

3. Registration and User Obligations

To access the platform, you must:

  • Be legally permitted to work in your jurisdiction;

  • Provide accurate and up-to-date information during registration;

  • Maintain the confidentiality of your login credentials;

  • Promptly notify us of any unauthorised access to your account.

You must not share your account or credentials with any third party.

4. Privacy and Data Collection

Your use of the platform is subject to the ShiftMatch Privacy Policy, available at www.shiftmatch.com/privacy. This policy outlines how we collect, store, use, and disclose your personal data.

  • Workers: Your data may be accessed by your employer or organisation for shift management purposes.

  • Administrators: You are responsible for ensuring compliance with applicable privacy laws when handling worker data.

5. Permitted Use

You agree to use the platform solely for lawful purposes related to workforce and shift management. You must not:

  • Violate any law or regulation;

  • Upload, transmit, or distribute malicious software or content;

  • Interfere with platform operation or other users’ experience;

  • Circumvent system limitations or access unauthorised areas of the platform.

Gate121 Pty Ltd t/a ShiftMatch and its authorised Canadian reseller FillShift Inc. reserve the right to monitor use and enforce compliance.

6. Intellectual Property

All intellectual property rights in the ShiftMatch platform, including software, content, design, and branding, are solely owned by Gate121 Pty Ltd t/a ShiftMatch. FillShift Inc. acts solely as a reseller and has no ownership rights in the ShiftMatch intellectual property.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the platform for authorised purposes only. You may not reproduce, modify, distribute, or reverse engineer any part of the platform without prior written consent from Gate121 Pty Ltd t/a ShiftMatch.

7. Service Levels and Support

While we endeavour to provide consistent and reliable service, access to the platform may occasionally be interrupted for maintenance or unforeseen issues.

Service levels may also be defined in separate agreements with organisations.

8. Disclaimers and Limitation of Liability

The platform is provided "as is" and "as available". To the maximum extent permitted by law, Gate121 Pty Ltd t/a ShiftMatch and FillShift Inc. disclaim all express or implied warranties.

We are not liable for:

  • Loss of income, data, business opportunities, or goodwill;

  • Indirect, incidental, or consequential damages.

Some jurisdictions may not permit certain exclusions; in such cases, liability is limited to the fullest extent permissible by law.

9. Indemnification

You agree to indemnify and hold harmless Gate121 Pty Ltd t/a ShiftMatch, FillShift Inc., and their officers, employees, and affiliates from any claims, losses, or liabilities arising out of your use of the platform, your breach of these Terms, or your violation of applicable laws.

10. Termination

We reserve the right to suspend or terminate your access to the platform at our sole discretion, with or without notice, for breach of these Terms or any unlawful or abusive activity.

Upon termination, your right to use the platform will cease immediately.

11. Governing Law

  • Australia: These Terms are governed by the laws of New South Wales.

  • Canada: These Terms are governed by the laws of Ontario.

You agree to resolve disputes in the relevant jurisdiction. You waive any rights to participate in class actions or other collective proceedings.

12. Amendments to Terms

We may update these Terms from time to time. Continued use of the platform after such updates constitutes acceptance of the revised Terms.
